The Role 

As IPC Asia Pacific grows rapidly across the Asia Pacific region, we are seeking an experienced In-House Legal Counsel on a permanent full-time basis (although flexibility will be considered for the right candidate) in our North Sydney Office.

Reporting to the General Counsel, Asia Pacific your role is to provide support to the General Counsel with day to day tasks and advise stakeholders across the business on the management of legal risks and supporting with compliance initiatives across our entities in Asia Pacific. 

The role has both a corporate & commercial and compliance focus with an emphasis on Procurement & Distribution, including the development/updating of precedents and delivery of training to the business so we are looking for an all-rounder with a can-do attitude.

Responsibilities

  • Scope: provide accurate and timely advice to the Senior Leadership team and business stakeholders on a variety of legal topics, anticipate legal risks and propose workable solutions
  • Commercial agreements: draft and vet commercial agreements including RFPs, procurement contracts, distribution contracts, consulting agreements, data sharing, non- disclosure agreements and other service provider agreements
  • Legal advice: including on consumer law, privacy, data security, competition law, unfair contract terms and corporate governance
  • Legal compliance: prepare first draft of internal governance policies, legal FAQs/cheat sheets, deliver internal training and regularly monitor compliance 
  • Contract management: support with conducting risk assessments and manage active contracts (e.g. termination notices, variation letters, etc)
  • Company secretary: supporting with board reporting, resolutions, basic legal documents, change to company names etc
  • Project Management: support with legal workflow tracking & management, knowledge management and precedents database
  • External firm management: liaise with external law firms, review engagement letters and budget tracking

Skills and Experience 

  • Minimum 4-6 years' relevant PQE
  • Top-tier law firm training preferred
  • Must have solid drafting experience and good attention to detail
  • In-house experience advantageous 
  • Solid understanding and experience of general corporate and commercial law 
  • Able to manage multiple tasks in a fast-paced environment
  • Current Practising Certificate
