We are seeking a corporate lawyer with 3+ years PAE. You will have experience in capital raisings, IPO’s, mergers and acquisitions. You will also be proficient with the ASX Listing Rules and the Corporations Act as well as other corporate regulations.
In this role you will:
- advise and act on behalf of companies in respect of mergers, acquisitions and takeover activities including undertaking due diligence in respect of transactions, negotiation and preparation of complex transaction documents (such as merger implementation agreements; takeover materials and share sale agreements);
- advise on capital raisings (both initial public offerings and secondary raisings) for public and private companies;
- provide corporate advice in respect of corporate governance and general commercial issues for public and private companies; and
- assist public listed companies in respect of matters such as the preparation of materials to convene General Meetings, liaising with the ASX and ASIC, and compliance with the ASX Listing Rules including continuous disclosure obligations.
