Our client is a leading, global corporation in the Healthcare and Medical Devices industry. They have a very large in-house team globally and are seeking a new Legal Counsel to head-up the Australia and NZ region, working closely with the wider APAC team.

Description

Reporting into the Regional Counsel for APAC based in Singapore, you will be the Country-Head for ANZ responsible for managing the legal function and leading strategic and tactical legal initiatives for the region. You will provide effective and practical advice on a full range of matters, guidance on strategies and implementation and be responsible for instructing and managing the work of outside counsels. You will also be directly involved in complex business transactions and actively negotiating critical contracts.

Key duties:

  • Establish and manage the Legal Function in the ANZ region and potentially acquire, develop, motivate and retain further key professionals for this function;
  • Advise on full range of legal aspects including Commercial contracts, Finance, Corporate Law, Employment/IR law, Litigation, Tax and Criminal Issues, including assessing and advising on current and future business structures and legal entities;
  • Serve as key lawyer on all major business transactions, including acquisitions, divestitures and joint ventures and drafting and negotiating key commercial contracts;
  • Provide effective advice on strategies and their implementation, giving continuing counsel and guidance on legal and other risk matters and on legal implications of all matters;
  • Participate in the definition and development of Policies, Procedures and Programs, acting as legal advisor;
  • Judge the merits of court cases or other litigation-types filed and work with the appropriate Executives to define a strategic defence and approve settlements of disputes where warranted;
  • Assume ultimate responsibility for ensuring the region conducts its business in compliance with applicable laws and regulations;
  • Oversee the selection, retention, management and evaluation of all outside counsel in the ANZ region; and
  • Maintain good relationships with the Stakeholders, including ultimate (public) shareholders, governmental authorities, customers and patients.

Profile

The ideal candidate:

  • A solicitor admitted in NSW with at least 5 years’ experience from a reputable law firm or in-house team;
  • Excellent negotiation skills;
  • Time Management skills with the ability to gracefully and effectively handle conflicting priorities and stressful (crisis) situations and thrive under pressure;
  • Ability to support mergers & acquisitions;
  • Prior experience working on matters of Corporate Governance and with a Board of Directors;
  • Prior experience managing other attorneys and supervising support staff in a global Corporation;
  • Familiarity and understanding of Sarbanes-Oxley and legislation and related FASB/IFRS revenue recognition guidelines;
  • Experience in directing strategy and managing complex cases (patent litigation, criminal issues and others);
  • A strategic Leader with good judgment and strong Customer/Client focus;
  • Knowledge and experience working with the APAC environment and Governments;
  • Experience in Compliance, Anti-corruption and competition laws;
  • Good understanding of value chains, margins and cash-flows; affinity with numbers and financial and accounting;
  • Ability to make effective and persuasive speeches and presentations on controversial or complex topics;
  • Ideally have worked, studied and/or travelled intensively outside own country, participated in global Projects and outside country meetings; wide international experience is an advantage: global thinker with a capability to act locally;
  • Healthcare experience is an advantage; and
  • Knowledge of one or more Asian languages is an advantage!
