Our client is a well-established investment management company, they focus on venture capital, property and digital assets. The company has a number of Australian and overseas registered entities. Due to rapid expansion they are now seeking an experienced and hands on Financial Controller & Company Secretary.

Reporting to the Operations and Finance Manager, key responsibilities include:

  • Undertake all the accounting data entry for each entity within the Group, including basic bookkeeping;
  • Have a good working knowledge of Australian International Financial Reporting Standards,
  • the Australian Corporations Act 2001 Cth and Australian Income Tax and Goods and Services Tax legislation;
  • Any knowledge of International Financial Reporting Standards and international income tax will also be looked upon favourably;
  • The preparation of individual and consolidated financial statements;
  • The preparation of all necessary working papers to support any balance day adjustments.
  • Income tax calculations for the individual Australian entities within the Group.
  • Work closely with all external professional service providers (accountants, auditors, tax agents and lawyers); 
  • Lodgement of BAS returns through the ATO Business Portal;
  • Preparation of any budgets and forecasts if required;
  • Process the Group’s payroll.

Company Secretary Role:

  • Be appointed as the Company Secretary for all of the Australian entities within the Group;
  • Attend all necessary board meetings and prepare and file the minutes of those meetings;
  • Prepare any standard share transfer forms;
  • Attend to all necessary ASIC lodgements; 
  • Liaise with the Trustees of the Group’s managed investment schemes, complete each Trustees compliance reporting and generally take responsibility for the Group’s compliance function in relation to the managed investment schemes and the Group’s entities;
  • Maintain the Group’s Australian entities corporate registers;
  • Prepare all necessary schedules summarising the relevant ABN, ACN, shareholdings and review dates for each Australian entity within the Group;
  • Prepare all notices of directors and shareholders meetings as required from time to time;
  • Ensure that the Group’s managed investment schemes activities comply with all necessary AFSL requirements.

Skills and experience required for this role:

  • Relevant accounting qualifications (CPA or CA);
  • Either separate company secretarial qualifications and/or extensive company secretarial experience including companies (private and public) and trusts (discretionary and unit);
  • High attention to detail;
  • Meticulous record keeping skills;
  • Ability to work independently and self-sufficiently;
  • Previous exposure to financial services;
  • Experience with Xero and MYOB;
  • Excellent communication skills and commercially minded
